Terms of use

These terms are the agreement between you and MedA LLC, the company that operates Zolution. They apply when you use zolution.io, create an account or act for a business on Zolution. When you sign up, we record that you agreed to these terms, with the version you agreed to and the time.

In these terms, "Zolution", "we" and "us" mean MedA LLC and the Zolution service it runs. "You" means the person using Zolution and the business you act for. A "merchant" is a business looking for payment services. A "provider" is a business that offers them, such as an agent, an intermediary or a direct bank.

1. Who we are

Zolution is operated by MedA LLC, 30 N Gould St Ste N, Sheridan, Wyoming 82801, USA.

2. What Zolution does, and what it does not do

Zolution is a marketplace and private application workspace. It connects merchants with payment providers.

  • Merchants can publish a request, compare offers and apply to a provider.
  • Providers can find requests that match their coverage, send offers and invite their own clients.
  • Both sides can work through an application together: document links, reviews, decisions, setup and testing.

Zolution is not a payment provider, bank or processor. We do not:

  • process payments or hold anyone's funds;
  • review, underwrite or approve merchants;
  • sign, negotiate or guarantee any contract between a merchant and a provider;
  • check that the information members give us is true;
  • verify transactions, or that a merchant account is live.

Each provider reviews a merchant's business, sets its own terms and makes its own decisions. An offer on Zolution is not a contract. Any agreement is made directly between the merchant and the provider.

What a member enters is that member's own statement. A provider's coverage is what the provider declares. When an application shows processing as live, that is the provider's report: we record it, and we do not confirm it.

We do not promise that you will receive offers, approval, payouts or new business through Zolution.

3. Your account and your businesses

  • You sign in with your email address and a one-time code we send to it. Zolution has no passwords.
  • One email address is one account. An account can own several businesses, as a merchant, a provider or both.
  • Each business has one owner: the account that created it. Zolution has no extra seats. Ownership and sign-in emails cannot be changed inside Zolution. Ask us, and we review the request first (section 10).
  • Use an email address you control and keep it secure. Anyone who can read your email could ask for a code and sign in as you.
  • You are responsible for what is done through your account. Tell us straight away at support@zolution.io if you think someone else has used it.
  • Zolution is for business use. You confirm that you may act for each business you add, and that what you tell us about it is accurate. Keep it up to date.

4. Your membership is free

  • Zolution Standard is complimentary. There is no fee and no credit card.
  • It is the only plan today.
  • If we introduce paid plans, you choose whether to subscribe. Nothing moves to a paid plan automatically.
  • If our support team sets a different plan for one of your businesses, your account page shows the change and our reason.
  • We may change what the free plan includes.

5. Requests, offers and proposal links

Requests (merchants)

  • A merchant business can have one open request at a time. Each change you publish becomes a new version of the request.
  • Providers whose declared coverage matches your request can see seven facts about it: your business name (or your website's address if you gave no name), your website, your industry, the country where your company is registered, where your customers are, the monthly volume you want one provider to handle, and the year you started trading.
  • They do not see your email address, your total revenue, your answers about the signer, or your documents.

Your proposal link (merchants)

  • Anyone who has your proposal link can see a short summary of your request: business name, website, industry, company country and customer markets. Your volume appears only if you choose to show it.
  • A provider with the link can confirm its email address and send you an offer. You can pause the link.

Offers (providers)

  • State your real fees, reserves, payout terms, conditions and the company that would contract with the merchant. Send only offers you are willing to honour.
  • Each offer is kept exactly as you sent it. To change it, send a new version. Earlier versions stay in the record.
  • Each offer shows how long its terms are valid.
  • Continuing with an offer opens an application with that provider. It does not commit the merchant to a contract, and it does not stop the merchant from working with other providers.

6. Private invitations (providers)

  • You can invite your own client with a private link. A private invitation does not publish a request or notify other providers.
  • The link works for 14 days. Renewing it replaces the link, and the old one stops working.
  • Only the person whose confirmed email matches the invited address can continue the application.
  • Anyone who has the link can see your company's name, your note and the invited email address. Send it only to the person you invite.
  • Invite only people you already work with or who expect to hear from you. We limit how many invitation emails one address can receive.

7. Document links: what merchants accept

Zolution does not store your documents. You keep them in your own storage and add links to them.

What Zolution stores. The link's address, encrypted, with your label, the document type, an optional note and the date you say the documents were last updated. Zolution never opens, downloads, scans or previews the address or what it points to.

Who sees a link. Links are private to your business until you release them. You release a link to one named provider, from an application, at its review step. Zolution shows a released link only to that provider, and only while the release is active and the application is open.

By adding and releasing document links, you accept that:

  1. Anyone who has a link can open it and forward it. That includes people inside the provider's company and anyone they pass it to. Your storage's settings decide who can open a link. Zolution does not.
  2. Zolution cannot take back access. Withdrawing a release, or closing the application, stops Zolution showing the link. It does not remove access in your storage. To stop access, change the link or its permissions there.
  3. Content can change after a review. If you change what a link points to, the provider's earlier review may no longer match it. A provider's review records what the provider says it reviewed, and when. It is not a copy of your documents, and Zolution does not check it.
  4. We log what Zolution does, not what happens in your storage. Zolution records each release, each withdrawal and each time it displays a link's address, to you in your link editor or to the provider. We do not record, and cannot see, when anyone opens a link.
  5. A released address is fixed. After a link has been released, its address cannot be changed. Add the new address as a separate link. A released link stays in your library with its history. You can still change its label, type, note or date, and the provider then sees that a fresh review is needed.

We recommend that you set a password or an expiry date where your storage offers one, and release only what each provider needs.

Links must be complete HTTPS addresses. Do not put a username or password in a link. Zolution refuses those addresses.

Providers: use released links, and what they contain, only to review and set up that merchant's application, and keep them confidential.

8. Applications and their records

  • An application is private to one merchant business and one provider. It moves through the provider's review, its decision, setup, testing and the provider's report that processing is live.
  • When a merchant submits an application, the provider sees the application details the merchant entered, the merchant's sign-in email as the contact address, and the document links the merchant releases.
  • Decisions, setup versions, test results, live reports, website reviews, terms references, acknowledgements and messages form a permanent record. Once saved, they cannot be edited or deleted in Zolution.
  • A provider's decision is the provider's alone. Zolution does not approve merchants or audit payment processing. Acknowledging terms in an application does not sign a contract.
  • A merchant can withdraw an application. This closes it and stops Zolution showing its released links. It does not cancel a contract the merchant signed directly with the provider.

9. The private conversation

  • Each application has one conversation, between the merchant and the provider.
  • Never share passwords, API keys or other secrets, card details or other payment credentials in the conversation, or anywhere else in Zolution. Credentials belong in the provider's own secure setup process.
  • Links cannot be posted in messages. Documents are shared as document links (section 7).
  • Messages cannot be edited or deleted once sent. If you share something sensitive by mistake, change it at its source straight away (for example, replace the password or the card) and tell us at support@zolution.io.

10. Help, account changes and deletion requests

  • Signed-in members can ask for help from their account. If you cannot get into your email, use the account recovery form. Receiving a recovery request does not confirm that an account exists and does not change any access.
  • Requests to change account details or ownership, to recover access, or to delete an account or data are referred for review. Nothing changes and nothing is deleted when you send one. A person reviews each request, including who is asking, and carries it out by hand within the time the law requires. Before anything is changed or deleted, the reviewer explains what will change and what must be kept.
  • When support replies to, refers or resolves your request, we email you. The reply itself is in your account.
  • Our support staff see only the help requests assigned to them, and they cannot sign in as you.

11. Acceptable use

You must not:

  • use Zolution for anything unlawful, or for a business that is unlawful where you or your customers are;
  • give false or misleading information, or pretend to be another person or business;
  • send offers you do not intend to honour, or invitations to people who do not expect them;
  • use another member's information, such as request facts, offers, application details or document links, for anything other than the request or application it was shared for;
  • copy or collect data from Zolution in bulk, use bots or other automated tools on it, or try to get around its bot check, limits or permissions;
  • test, probe or attack Zolution's security without our written permission, or disrupt the service;
  • link to anything harmful, such as malware or pages built to collect passwords;
  • put passwords, keys, card details or other credentials into Zolution (section 9).

12. Suspension and closure

  • We may suspend or close an account, or remove a business, if it breaks these terms, puts other members at risk, or if the law requires it.
  • A suspended account cannot sign in, and its open sessions stop working.
  • You can ask to close your account or to delete your data from your account page (section 10).
  • Some records stay after an account is closed, as our privacy notice explains.

13. Your content

You own the information you add to Zolution. You allow MedA LLC to store it, protect it and show it to the people you share it with, as needed to run Zolution.

14. Changes to Zolution and to these terms

  • Zolution is new. We will add, change and remove features.
  • When we change these terms, we will publish the new version here with its date.

15. Limits of liability

Zolution is provided as it is. As far as the law allows, we are not liable for indirect losses, lost profits or lost business, or for anything agreed, paid or decided between merchants and providers, and our total liability to you is limited to US$100.

16. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, USA, and the state or federal courts in Wyoming decide any dispute about them.
